What extraprovincial registration is — and the two-month rule

Incorporating federally gives you a corporation that can operate anywhere in Canada, but each province still wants to know you are there. In BC that is extraprovincial registration under Part 11 of the Business Corporations Act. Section 375 requires a federal corporation to register within two months after it begins to carry on business in BC — counted from when business starts here, not from incorporation. The Act treats you as carrying on business in BC once you have an office here, a resident agent, or a BC address listed in a directory or advertisement, so "we haven't opened a storefront yet" usually does not delay the clock.

Government fee $350, at cost. BC Registries charges $350 to register a CBCA corporation, and we bill that at cost. Our own filing work is included in Full Compliance and $99 plus tax on Records Office — it is the first thing we do for a federal client.

Three things filing services often get wrong

Your BC address

A federal corporation keeps its registered office in the province named in its articles, and its records with it. If that province is BC, Minuted's Vancouver-area address becomes your registered office and the delivery address on your BC registration — a real street address, which the Act requires, without renting a desk you will never sit at. The street address is given to clients on signup; it is never printed on this site.

The same address can receive your CRA, bank and supplier letter mail. Letters are scanned and emailed to you the same business day, and unlimited scanning is included in both plans. Registered and signature-required letters are accepted; we do not accept packages or large parcels, and we do not deposit cheques. If you want the originals, we forward them quarterly for $35 plus tax per shipment on your own courier label, and we can set a recurring reminder.

Both annual filings, included

Federal corporations in BC owe two things every year, on two different calendars. Minuted tracks and files both as part of the plan price.

  1. Corporations Canada annual return — within 60 days after your anniversaryGovernment fee $12. The register of individuals with significant control (ISC) is filed with it, so we keep that register current in your minute book and file it alongside the return.
  2. BC extraprovincial annual report — within two months after your anniversaryGovernment fee $43.39. Confirms your directors and BC address with BC Registries and keeps the corporation in good standing here.

Common questions

We've been operating in BC for more than two months already. What now?

Register now. The statement asks for the date you began carrying on business in BC — give the real one, and we file promptly so the corporation is on the BC register and in good standing from there. We can't undo the late start, but we can stop it getting later.

Do you incorporate federal corporations?

No. Minuted never incorporates companies or reserves names. You incorporate through Corporations Canada (or your accountant or lawyer does), and our work starts at the records: registration in BC, the address, the minute book and the annual filings. If you haven't incorporated yet, sign up now and we'll be ready the day your certificate arrives.

What is the ISC register?

The register of individuals with significant control — the people who own or control 25% or more of the corporation. Every CBCA corporation must keep it, update it within 15 days of a change, and file it with the annual return. We prepare it and keep it current as part of the plan. No social insurance numbers are collected.

Our head office is in another province but we do business in BC. Can you still act?

Yes — the registration and both BC filings work the same way. The difference is that an attorney for service in BC is required when the articles put the head office outside BC. Email us with your situation and we'll set out what is involved before you sign up.
