The rule, in one paragraph

Under the Business Corporations Act, a BC company must file an annual report within two months after each anniversary of its incorporation. A company incorporated on 12 August has its filing window open on 12 August each year and closing on 12 October. The report confirms to the registry that the company still exists, who its directors are, and where its registered and records offices are. The government fee is $43.39, and we bill it at cost with no markup.

The annual report is not a tax filing. It has nothing to do with the T2 corporate tax return your accountant files with the CRA. A company needs both, every year, and one does not cover the other.

What happens if you miss it

Nothing dramatic on day one — which is exactly why it gets missed. The company simply stops being in good standing, and that status is public. Banks, lenders, buyers and anyone doing due diligence check it. Keep missing it and the Registrar can dissolve the company, usually after notices went to an address nobody was watching. At that point the company cannot legally carry on business and its assets are at risk. Restoration is possible — we do it for $699 flat plus government fees — but it is far cheaper never to get there.

Why this doesn't happen to Minuted clients: we are the registered office, so the Registrar's notices come to us. The deadline sits in our tracker from the day you sign up, and the filing goes in before the window closes.

As your registered & records office we have access to your company in BC Registries, so we read the current directors and addresses straight from the registry rather than asking you to type them again. Before each filing you get one short message: has anything changed — directors, addresses? Reply yes or no. If nothing changed, we file. If something did, we prepare the change and file that too.

Federal (Corporations Canada) companies

A federal corporation doing business in BC has two annual filings, not one. The Corporations Canada annual return is due within 60 days after the anniversary of incorporation ($12 government fee), and the register of individuals with significant control (ISC) is filed with it. On the BC side, an extraprovincially registered corporation files a BC annual report ($43.39). Minuted tracks and files all of it, included in the same plan price. Common questions

I've already missed this year's deadline. Can you still file it?

Yes, if the company is still on the register. Sign up, we become the registered office, and we file the overdue report along with the current one. If the Registrar has already dissolved the company, that's a restoration instead — $699 flat plus government fees.

Do you need my BC Registries login?

No. Once we are your registered office we request access to the company in BC Registries and you approve it with one click. We never ask for your password.

Does the annual report cover my accountant's filings?

No. The annual report goes to BC Registries and keeps the company in good standing. Your T2 corporate tax return and GST filings go to the CRA and are your accountant's job. You need both.

Can I switch to Minuted partway through the year?

Yes, and it's free. We file the change of registered & records office ($21.50 government fee), collect your minute book from the old provider, and pick up the annual report from the next anniversary. If a deadline is close, tell us and we'll prioritise it.
